TERMS AND CONDITIONS OF SALE


I. Warranty

CUSTOM SCIENTIFIC INSTRUMENTS INC. TERMS AND CONDITIONS OF SALE I. Warranty CUSTOM SCIENTIFIC INSTRUMENTS INC. (hereinafter "CSI") products are warranted to befree from defects in material and workmanship, under proper use, installation, application, andmaintenance in accordance with written specifications and recommendations of CSI, for a periodof ONE YEAR FROM THE DATE OF SHIPMENT FROM THE CSI PLANT in Easton, Pennsylvania 18040, U.S.A. CSI's obligation under this warranty is limited to the repair, replacement or exchange of parts at the option and discretion of CSI. Repairs or replacements of any defect or defects of parts or products shall be completed at CSI's plant in Easton, Pennsylvania. CSI shall have the right of final determination as to the existence and cause of any defect. Any shipping or transportation costs for the repair or replacement of CSI parts orproducts shall be prepaid by the BUYER. Any and all defects shall be reported in writing to CSI within said one-year period. CSI is under no obligation to assume the costs of labor involvedwith a diagnostic evaluation of product's problem, removal, or installation of parts..

 

THIS WARRANTY IS LIMITED AND SHALL NOT APPLY TO ANY EQUIPMENT THAT HAS BEEN SUBJECT TO MISUSE, NEGLECT OR ACCIDENT; NOR SHALL IT APPLY TO ANY EQUIPMENT THAT HAS BEEN REPAIRED OR ALTERED, IN ANY MANNER, BY UNAUTHORIZED PARTIES. THIS WARRANTY IS LIMITED TO THOSE PRODUCTS MANUFACTURED BY CSI ONLY. Any associated or related equipment or accessories furnished or used by CSI and not of its own manufacture, is subject to the warranty of itsmanufacturer. This warranty is in lieu of all other warranties expressed or implied and no CSIrepresentative is authorized to assume any other liability in connection with the sale of itsproducts. In no event will CSI be liable for special or consequential damages as a result of anyalleged breach of this warranty provision.

 

CSI'S WARRANTIES ARE VOID, AND CSI ASSUMES NO RESPONSIBILITY FOR ANY RESULTING COSTS, LOSSES, OR DELAYS ARISING BY ACCIDENT, ACTS OF NATURE, ACTS OF GOD, TRANSPORTATION FAILURES, WAR, FIRE, STRIKES AND OTHER CIVIL DISTURBANCES, OR ANY OTHER CAUSES BEYOND THE CONTROL OF CSI.

 

II. Quotations

All CSI quotations are valid for 30 DAYS. Quoted prices are FOB Factory unless otherwisestipulated. Quotation prices do not include applicable taxes, transportation and/or shipping costsor any other fees that may be connected with the sale of CSI products. Prices are subject to change without notice..

 

III. Terms of payment

Terms of payment are net 30 days unless otherwise stipulated in writing by an authorizedrepresentative of CSI. If the Buyer delays shipment, then NET 30 days starts from the date ofinvoice, which is the same date of completion of manufacture. First time buyers must pay thefull value of the order prior to shipping date. All transportation and shipping costs are collectunless otherwise stipulated in writing by an authorized representative of CSI. 

 

IV. Returns

CSI will not accept any goods returned by the Buyer unless a written authorization has beenissued by CSI to the Buyer. The Buyer shall pay all related freight and office costs. A determination of credit, if any, shall be done only after inspection of returned goods to the CSIplant in Easton, Pennsylvania.

 

 

V. Cancellation Charges

In the event of cancellation of an order for any reason, CSI shall be entitled to demand andreceive 30% of the purchase price, plus the cost of all material purchased and work finished forsuch equipment up to the time of cancellation. Buyer's Notice of Cancellation must be in writing and received by CSI. Notice of receipt by CSI of Buyer's Notice of Cancellation is the responsibility of the Buyer..

 

VI. Taxes, Duties & Fees

Buyer shall pay CSI all applicable State and Federal taxes, duties, and fees in addition to thepurchase price.

 

VII. Drawings, Details or Design, and General Literature Specifications

CSI's illustrations, drawings, sketches, and quotation specifications, are intended for the solepurpose of showing generalities of features and arrangements of equipment and products only. CSI reserves the right to change any details in design or in construction which are deemednecessary to the best interest of both the Buyer and of CSI. CSI reserves the right to makechanges and improvements in its products without obligation to install these changes in productstheretofore manufactured. 

 

VIII. Installation, Start-Up, and Operation

Equipment installation and start-up shall be at the expense of the Buyer, unless otherwisestipulated in writing by an authorized representative of CSI. Proper performance and operationof CSI products and equipment is guaranteed so long as operation is made pursuant to publishedCSI specifications found in CSI's operating manuals or communicated directly by CSI technicians and engineers.

 

IX. Remedies

CSI may exercise all legal remedies available to it including court proceedings to recovery alllosses, including special or consequential damages, arising from Buyer's breach of the sale contract. Buyer consents to the jurisdiction of the courts of the State of Pennsylvania, U.S.A. This contract is governed by the laws of the State of Pennsylvania U.S.A.
